These Terms of Service ("Terms") govern your use of the ActScan website (actscan.app), the free scanning tool, and the purchase of the digital Remediation Kit. By accessing or using the service, you agree to these Terms. If you are acting on behalf of a business, you confirm that you have authority to bind that business.

1. What ActScan Does

ActScan offers two main components:

• A free web scanner that checks whether a publicly accessible URL runs a chatbot and whether visitors are clearly informed that they are interacting with an AI system, as required by Article 50 of the EU AI Act (Regulation (EU) 2024/1689).
• A digital Remediation Kit delivered by email. The kit contains recommendations, templates and checklists to help you improve your website. It is a digital product, not a service performed by us. The kit focuses on AI-transparency disclosures for website chatbots.

The scan generates an informational report only; it is not legal advice. The kit is meant as a self‑help tool. You are responsible for implementing any changes.

2. No Legal Advice

ActScan is a technical tool. Nothing we provide constitutes legal advice.

• Reports are based on automated heuristics and publicly available standards.
• We do not review your specific legal situation.
• You must not rely on ActScan for decisions that require professional legal counsel.
• If you need legal certainty, consult a qualified attorney.

3. Use of the Free Scanner

You may use the free scanner for lawful purposes only. You agree that the URL you submit belongs to you or that you have permission to scan it. We reserve the right to block scanning requests that appear abusive, fraudulent or technically harmful. We do not guarantee uninterrupted or error‑free operation of the scanner. Service may be suspended for maintenance or technical reasons without prior notice.

4. Purchasing the Remediation Kit

When you purchase the Remediation Kit, we send it to the email address you provide. The price is EUR 149 (including any applicable VAT). Payment is processed by our third‑party payment provider. We never store full card details (see our Privacy Policy).

No statutory withdrawal right for business customers.

If you are acting in the course of your trade or profession, the EU consumer right of withdrawal (Directive 2011/83/EU) does not apply.

Consumer withdrawal right and its waiver.

If you are a consumer in the EU or the European Economic Area, you normally have a right to withdraw from a digital content contract within 14 days. However, the right expires when the digital content is supplied immediately and you have given your express consent to the immediate supply and acknowledged that you lose the withdrawal right. By clicking the purchase button, you:

• explicitly request that we deliver the digital kit immediately after payment confirmation, and
• acknowledge that you will lose your statutory withdrawal right once the kit is sent to your email address.

Once the kit has been delivered to your inbox, it is non-refundable. We do not offer refunds for change of mind, failure to open the email, or disappointment with the content, because the kit is a digital good immediately accessible and usable.

If you refuse delivery (e.g. the email bounces because of an incorrect address you provided), we will attempt contact once. If we cannot deliver within seven days, the contract is terminated and you will receive a refund. This does not affect your right of withdrawal if the waiver conditions were not properly met.

5. Honest‑Result Clause

Our scan uses automated checks that compare your website against a set of public guidelines. The checks are designed to flag potential issues, but they are not exhaustive and may produce indeterminate or incomplete results. You accept that:

• a scan result of “no issues found” does not mean your website is compliant with every applicable law;
• a scan result that lists concerns does not mean your website is definitely non‑compliant;
• we make no guarantee that you will achieve compliance, pass a regulatory audit, avoid fines, or obtain any specific legal outcome.

ActScan is a helpful starting point, not a compliance certification.

6. Limitation of Liability

To the fullest extent permitted by law:

• No indirect damages. E Industries LLC and its affiliates are not liable for indirect, special, incidental or consequential damages, including but not limited to loss of profits, business interruption, or loss of data, even if advised of the possibility.
• Cap on liability. Our total liability for any claim arising out of or related to these Terms is limited to the amount you paid us for the Remediation Kit (EUR 149) or EUR 50 if you only used the free service.
• Non‑excludable liability. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded by law.

The scan and the kit are provided “as is” and “as available”.

7. Intellectual Property

ActScan, its name, logo, and the content of the Remediation Kit are owned by E Industries LLC or its licensors. You may not copy, modify, distribute or reverse‑engineer the product. The kit is licensed for your business’s internal use only; you may share it with employees or contractors working on your website, but you may not resell it or publish it on the internet.

You retain all rights in the URLs you submit for scanning. We do not claim ownership of your website content.

8. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict‑of‑law principles.

• For business customers: Any dispute must be brought exclusively in the state or federal courts located in Wyoming. You and we consent to personal jurisdiction there.
• For consumers: The Wyoming choice‑of‑law does not deprive you of mandatory consumer protections of your country of residence. You may bring a claim in the courts of your place of residence.

We encourage you to contact us first at support@e-industries.ai to resolve any disagreement informally before initiating legal proceedings.

9. Changes to These Terms

We may update these Terms from time to time to reflect changes in our service or legal requirements. We will post the revised version on actscan.app. If the changes materially affect your rights, we will notify you by email (if you have purchased a kit). Continued use after the effective date constitutes acceptance.
